      PHILANDTROPIC Marketing Agreement for online enrollment
      This PHILANDTROPIC Marketing Agreement (the "Agreement") is entered into by and between ParkParcels, LLC DBA PHILANDTROPIC a Utah limited liability company ("PHILANDTROPIC") and "LISTING OWNER".

      RECITALS

      PHILANDTROPIC owns certain intellectual property to facilitate the sale of Novel Deeds and related products and services and owns trademarks in conducting its business ("PHILANDTROPIC Marks"); and it is intended that PHILANDTROPIC products and services will be commodities or novelties and NOT securities, investments or Real Estate ownership.

      MARKETING AND FUNDS DISTRIBUTION

      • PHILANDTROPIC and LISTING OWNER shall market and sell PHILANDTROPIC products as follows:
        • Product Pricing. Minimum price of all Novel Deeds to be $5.00 unless agreed to otherwise in writing.
        • Sales Proceeds All sales of Novel Deeds shall be made utilizing PHILANDTROPIC on line Intellectual Property. PHILANDTROPIC shall collect and distribute all sales proceeds in respect to such sales.
        • Remittance of monies due PHILANDTROPIC will be based on package chosen at time of enrollment or additions or deletions thereafter and are due at time of service(s) rendered.
        • Remittance of monies due LISTING OWNER will be based on package chosen at the time of enrollment or additions or deletions thereafter.
          • PHILANDTROPIC shall remit to LISTING OWNER on or before the 10th day of each calendar month the funds that are due to LISTING OWNER for funds collected during the immediately preceding calendar month(s) as long as they are $50.00 or more. If funds are less than $50.00 they will be paid annually free of charge. LISTING OWNER can request compensation of less than $50 for a fee of $10.00 per payment made.
          • Funds paid to LISTING OWNER which are paid on funds that are affected by charge backs, refunds or other funds due Phil and Tropic will be deducted from future collected funds. All charge backs or refunds due are required to be paid in full by LISTING OWNER within 30 days of notification from PHILANDTROPIC.
        • Complimentary NovelDeeds. PHILANDTROPIC and LISTING OWNER may offer complimentary NovelDeeds. Neither party will be compensated for complimentary NovelDeeds nor will they incur cost. LISTING OWNER may only offer their Novel Deeds unless permission is granted otherwise in writing.
        • Optional Features: PHILANDTROPIC reserves the right to adjust optional feature(s) price with a 30 day written notice. LISTING OWNER will not be required to purchase optional features.
        • Other programs: LISTING OWNER may participate in other programs offered by PHILANDTROPIC. Other programs additional terms will be available to LISTING OWNER prior to enrollment. Although many parts of the agreements will be similar each agreement will be considered a separate agreement.
        • Reports. LISTING OWNER will have access to real time reports from their dashboard.
        • Rewards Program. Is intended to increase viral marketing opportunities for LISITNG OWNERS. Participation for all LISTING OWNERS is required. There is no fee to participate.
        • True and Accurate information. LISTING OWNER shall ensure that information communicated by them regarding their listings is at all times true.
        • Use of PHILANDTROPIC Intellectual Property and Marks. PHILANDTROPIC hereby licenses LISTING OWNER to use the PHILANDTROPIC Intellectual Property and Marks to sell Novel Deeds. PHILANDTROPIC reserves the right, at its sole discretion, at any time to prohibit or halt any particular use or uses of the PHILANDTROPIC Intellectual Property or Marks by LISTING OWNER.
      OTHER INFORMATION
      • Indemnification. At their own expense, both parties shall indemnify, defend, and hold harmless each other from any claim, suit, costs and expenses incurred as a result of any claim or proceeding brought against each other based upon any false or misleading statement or misrepresentation by either party with respect to the NovelDeeds or for any illegal or wrongful act or omission by either party in connection with this Agreement.
      • Relationship of the Parties. It is understood and agreed that the parties hereto are independent contractors and are independent of one another.
      • Nonexclusive Agreement. This Agreement is NON EXCLUSIVE for either party.
      • Term and Termination.
        • Initial Term; Automatic Renewal. This Agreement shall be effective as of the date first of enrollment and shall continue as set forth based on the package chosen. Thereafter, the Agreement shall be automatically renewed unless terminated in writing.
        • Termination.
          • Notice. If at any time the LISTING OWNER would like to discontinue service they may immediately terminate this agreement with written notice.
          • Default. If a party defaults under this Agreement, and fails to either substantially cure such default within thirty (30) days after receiving written notice the non-defaulting party may immediately terminate this Agreement.
          • Effect of Termination. Upon termination of this Agreement, both parties shall promptly cease all sales and marketing of NovelDeeds.
      • Miscellaneous.
        • Force Majeure. Each party shall be excused from any delay or failure in performance under this Agreement for any period if and to the extent that (a) such delay or failure is caused by factors beyond the reasonable control of that party.
        • Notice. All notices given under any of the provisions of this Agreement must be in writing

          LISTING OWNER: As reflected in account information.
        • Arbitration and Disputes. All disputes and claims relating to this Agreement shall be settled by arbitration in Salt Lake City, Utah. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration. The prevailing party may collect reasonable attorney's fees.
        • Governing Law, Jurisdiction, and Venue. This Agreement is governed by the laws of the State of Utah, County of Salt Lake.
        • Entire Agreement. This instrument sets forth the entire agreement among the parties and supersedes all prior agreements, whether written or oral.
        • Severability. In the event that any part of this agreement is held to be invalid or void by any court of competent jurisdiction, the remainder of this Agreement shall remain in effect.
        • Amendments. This Agreement may be modified only in writing.
        • Execution Online. The parties agree that this Agreement may be executed online by checking the "agree to terms" box.
        • Authority. Upon execution of this agreement, the undersigned represent that they have full authority to enter into this Agreement on behalf of such parties.
